These Terms of Service ("Terms") govern your access to and use of the website and online store operated by Sordin Värnamo AB ("Sordin", "we", "us", "our") at https://sordin.com (the "Site") and the purchase of products through the Site (collectively, the "Services"). By using the Services or placing an order, you agree to these Terms.

If you do not agree, do not use the Services.

2. Eligibility

You must be at least the age of majority in your jurisdiction to place an order. By placing an order, you represent that you have the legal capacity to enter into a binding contract.

3. No customer accounts

We do not provide customer accounts. Purchases are made through checkout and order confirmations are sent to the email you provide.

4. Products and information

We strive to display accurate product descriptions, images, specifications, compatibility information, and pricing. However: Images are illustrative and colours/appearance may vary by device and lighting. Product descriptions and availability may be updated without notice. We do not warrant that all product information is complete or error-free.

If we discover an error in pricing, product information, availability, or shipping details that affects your order, we may correct the error and, where necessary, cancel the affected order and refund you.

5. Intended use and safety

Our products may be used in environments where hearing protection or communications equipment is relevant. You are responsible for: selecting the correct product for your needs, using products according to instructions, warnings, and applicable safety standards, ensuring compatibility with your equipment and accessories.

Improper use, modifications, or use outside intended purpose may reduce protection or performance. To the maximum extent permitted by law, we are not liable for damage or injury resulting from misuse, failure to follow instructions, or use in conditions beyond the product's intended scope.

6. Prices, currency, taxes, and duties

6.1 Pricing Prices are shown on the Site and may change at any time. The price charged is the price shown at checkout at the time you place your order.

6.2 Taxes Depending on your location, prices may include or exclude VAT/sales tax and may be calculated at checkout.

6.3 Duties and import fees For international shipments, your order may be subject to import duties, customs fees, brokerage fees, and local taxes. Unless explicitly stated at checkout, these are the customer's responsibility and are not included in the product price or shipping cost.

7. Orders, acceptance, and cancellations

7.1 Order acceptance Your order is an offer to purchase. We may accept or decline orders at our discretion, including in cases of suspected fraud, errors, product unavailability, or shipping restrictions. A confirmation email acknowledges receipt but does not necessarily mean acceptance. Acceptance typically occurs when the order is processed for shipment.

7.2 Order changes/cancellations If you need to change or cancel an order, contact us immediately via the support form. We cannot guarantee changes or cancellations once the order has been processed or shipped.

8. Payment

We accept payment methods offered at checkout, including Shopify Payments and Shop Pay. By submitting payment information, you represent that you are authorised to use the selected payment method.

If your payment is declined or reversed, we may cancel the order or suspend delivery until payment is received. Chargebacks or disputes may result in fraud checks and we may request additional information to verify the order.

9. Shipping, delivery, and risk of loss

9.1 Shipping Shipping options, costs, and estimated delivery times are shown at checkout or in our shipping information on the Site. Delivery times are estimates and not guaranteed.

9.2 Risk of loss and title Title to the products transfers to you upon full payment. Risk of loss or damage passes to you:

For UK and EU consumer orders: when you (or a person you have nominated) take physical possession of the goods. If you arrange your own carrier (not one we offered), risk passes on handover to that carrier. For US orders and all other orders: upon delivery to the carrier, to the maximum extent permitted by applicable law.

This section does not affect any mandatory consumer rights that may apply in your country of residence.

9.3 Delivery issues If a shipment is lost, delayed, damaged, or misdelivered, contact us promptly via the support form. We may need information such as photos, packaging details, and confirmation from the carrier to investigate and resolve the issue.

10. Returns, refunds, and consumer rights

Our return and refund conditions are described in our Returns & Refunds Policy on the Site. That policy is incorporated into these Terms by reference.

10.1 EU/UK consumer withdrawal right (statutory) If you are a consumer in the EU/EEA or the UK, you have a statutory right to withdraw from your purchase within 14 days of receiving the goods, subject to applicable exceptions and conditions. A model cancellation form is provided in our Returns & Refunds Policy. Your statutory rights apply in addition to our store policies.

10.2 Condition of returns Returned items must generally be in the condition required under our return policy (for example unused, with original packaging, and including accessories), unless local mandatory consumer law states otherwise.

10.3 Refund timing Refunds are processed back to the original payment method once the return is received and inspected, or as otherwise stated in our Returns & Refunds Policy.

11. Warranty and statutory rights

Some products may come with a manufacturer warranty and/or store warranty described on the Site or in product documentation. Warranty terms may vary by product and are set out in our Warranty Policy.

Nothing in these Terms limits or excludes mandatory consumer rights under applicable law, including:

UK: Under the Consumer Rights Act 2015, goods must be of satisfactory quality, fit for a particular purpose, and as described. If goods do not conform, you have a short-term right to reject (within 30 days), and rights to repair, replacement, or a price reduction. EU/EEA: Under the Consumer Sales Directive (and national implementations), goods must conform to the contract. You may be entitled to repair, replacement, a price reduction, or rescission, depending on local law. US: Applicable state and federal consumer protection laws may provide additional rights.

12. Promotions, discount codes, and gift cards

Promotions and discount codes: may be time-limited and subject to additional terms, may not be combined unless stated, may be limited to certain products/regions, can be modified or discontinued at any time, may be cancelled if we reasonably suspect misuse or fraud.

If gift cards are offered, their terms will be stated at purchase or on the Site and will apply.

13. Product reviews and user content (Judge.me)

If you submit a review or other content ("User Content"), you agree that: your User Content is accurate to the best of your knowledge and does not violate laws or third-party rights, you will not post unlawful, defamatory, abusive, misleading, or infringing content, we may moderate, remove, or refuse to publish User Content at our discretion.

You grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, and distribute your User Content for the purpose of operating, improving, and marketing the Services, subject to applicable law. If you request removal or anonymisation of a review for privacy reasons, we will handle it in line with our Privacy Policy and applicable law.

14. Intellectual property

The Site and all content on it (including trademarks, logos, product images, text, graphics, and design) are owned by or licensed to Sordin and protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or exploit any content without our prior written permission, except as permitted by law.

15. Prohibited uses

You may not: use the Services for unlawful purposes, attempt to interfere with the Site's security, integrity, or performance, scrape, reverse engineer, or misuse the Services, submit false information, impersonate others, or engage in fraud.

We may suspend or restrict access if we believe you have violated these Terms.

16. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Services, you acknowledge our Privacy Policy.

17. Disclaimers

To the maximum extent permitted by law, the Services and products are provided "as is" and "as available", without warranties of any kind except where expressly stated. We do not guarantee uninterrupted or error-free operation of the Site.

18. Limitation of liability

To the maximum extent permitted by applicable law: Sordin is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Services or products is limited to the amount you paid for the product(s) that gave rise to the claim.

Nothing in these Terms limits liability that cannot be limited or excluded under applicable law, including mandatory consumer protections, liability for death or personal injury caused by negligence, or liability for fraud or wilful misconduct.

19. Indemnification

You agree to indemnify and hold harmless Sordin from claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms, misuse of the Services, or violation of any law or third-party rights.

20. Force majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, strikes, supply chain disruptions, carrier delays, war, governmental actions, or outages.

21. Changes to the Services or Terms

We may update the Services and these Terms from time to time. The "Last updated" date indicates when these Terms were last revised. Changes apply from the time they are posted on the Site. If you continue using the Services after changes, you accept the updated Terms.

22. Governing law and disputes

These Terms are governed by the laws of Sweden, without regard to conflict of law rules, except where mandatory consumer law in your country of residence requires otherwise.

If you have a complaint or dispute, contact us first via https://sordin.com/pages/support so we can try to resolve it.

For consumers in the EU/EEA, you may also have the right to use an alternative dispute resolution body and/or bring claims in your local courts as required by law.

For consumers in the United Kingdom, you may bring proceedings in the courts of England and Wales, Scotland, or Northern Ireland depending on where you live. You may also wish to consider alternative dispute resolution (ADR) where available. Further information about ADR is available from Citizens Advice (citizensadvice.org.uk).

23. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.

24. Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of assets.

25. Entire agreement

These Terms, together with policies referenced on the Site (including the Privacy Policy, Returns & Refunds Policy, Shipping Policy, Warranty Policy, and Cookie Policy), constitute the entire agreement between you and Sordin regarding the Services and supersede prior agreements or communications on the subject.
